These Terms and Conditions (“Terms”) govern the access to and use of the website, platform, applications and services operated by Freiority Private Limited, a company incorporated under the Companies Act, 2013, having its registered office in Karnataka, India (“Freiority”, “Company”, “we”, “us”, or “our”).

By accessing, browsing, registering on, or using the Platform, you (“User”, “you”) agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. Nature of the Platform

1.1 Freiority operates a technology-enabled online platform and digital marketplace for rate discovery and forwarder discovery that enables:

• Discovery and comparison of freight rates;
• Publication of shipment enquiries;
• Connection between customers and registered freight forwarders and logistics service providers;
• Directory listing and membership-based marketplace access.

1.2 Freiority is not a freight forwarder, carrier, transporter, logistics operator, customs broker, or shipping agent. The Platform is a discovery tool and does not provide shipment tracking, cargo insurance, or end-to-end booking execution.

1.3 Freiority does not:

• Transport goods;
• Handle or store cargo;
• Issue Bills of Lading, Air Waybills or transport documents;
• Act as a contracting party for carriage of goods.

All logistics services are provided directly by third-party service providers.

2. Eligibility

2.1 You must be legally competent to contract under Indian law to use the Platform.

2.2 Businesses using the Platform represent that they have all necessary registrations, licences and approvals required under applicable laws.

Compliance with Local Laws:

2.3 Users accessing the Platform from jurisdictions outside India are responsible for ensuring that their use of the Platform complies with applicable local laws and regulations. Freiority does not represent that the Platform is appropriate or available for use in all jurisdictions.

3. User Accounts

3.1 Users may be required to create an account to access certain features.

3.2 You are responsible for:

• Maintaining confidentiality of login credentials;
• All activities conducted through your account.

3.3 Freiority reserves the right to suspend or terminate accounts for misuse, false information, or violation of these Terms.

4. Membership

4.1 Freiority offers company-based membership plans for freight forwarders (FREE, ACTIVE_FORWARDER, and GROWTH_PARTNER). Customers (shippers/importers/exporters) are not charged for access to the Platform.

4.2 Membership tiers and restrictions:

• FREE tier accounts are for directory presence and discovery only;
• Participation in the bidding process and submission of quotations requires an active paid subscription (ACTIVE_FORWARDER or GROWTH_PARTNER);
• Membership fees are non-refundable unless explicitly stated;
• Fees may be revised with prior notice.

4.3 Membership is tied to the forwarder’s company. All users within the same company share access (unlimited users).

4.4 Access to features depends on the membership plan selected. No per‑user or seat‑based pricing applies.

5. Quotations & Transactions

5.1 Freight quotations are submitted by third-party service providers, not by Freiority.

5.2 Any agreement, negotiation, or transaction for logistics services is strictly between the customer and the service provider.

5.3 Freiority is not responsible for:

• Accuracy of quotations;
• Performance of services;
• Payment disputes;
• Cargo loss, delay, or damage.

Controlled Disclosure of Contact Information

To protect user privacy and platform integrity, Freiority follows a "Soft Reveal" pattern for contact information.

Company Name and Contact Name may be visible immediately to build trust. However, sensitive contact details such as Email and Phone Number remain redacted until a quotation is submitted by a service provider or until the customer explicitly approves a direct enquiry.

6. Directory Listings

6.1 Directory listings are informational only.

6.2 Freiority does not guarantee:

• Quality, legality, or suitability of listed service providers;
• Availability or pricing of services.

7. Fees & Payments

7.1 Freiority may charge:

• Subscription and Membership fees.

7.2 All fees are exclusive of applicable taxes unless stated otherwise.

7.3 Fees, subscriptions and charges may be displayed in different currencies for convenience. Applicable taxes, duties, levies or withholding taxes, if any, shall be the responsibility of the User as per applicable laws in their jurisdiction.

8. Intellectual Property

8.1 All content, software, logos, trademarks, databases and designs on the Platform are the intellectual property of Freiority or its licensors.

8.2 Users may not copy, modify, distribute or exploit any content without written permission.

8.3 Prohibited Use and IP Protection

• No scraping, crawling, automated harvesting or bulk extraction of data.
• No copying, mirroring, framing, or republication of Platform content or UI.
• No reverse engineering, decompilation, or attempting to access source code.
• No commercial reuse of data, listings, profiles, or media without written consent.
• No use of bots or automated tools to create accounts, submit enquiries or quotes.
• Violations may result in suspension, civil claims and reporting to authorities.

9. User Conduct

Users agree not to:

• Post false, misleading or unlawful information;
• Infringe intellectual property rights;
• Interfere with Platform security or functionality;
• Use the Platform for fraudulent or illegal purposes;
• Register with temporary or disposable email domains (Freight Forwarders are nudged toward professional corporate emails for verification).

10. Disclaimers and Compliance

10.1 The Platform is provided on an “as is” and “as available” basis.

10.2 Freiority is committed to maintaining high security and data protection standards. We follow best practices aligned with PCI, GDPR, ISO 27001, and SOC 2 principles, and rely on certified third-party providers for critical infrastructure and payments.

10.3 Freiority makes no warranties regarding:

• Accuracy of information;
• Availability of services;
• Outcomes of transactions.

All third-party names, trademarks and logos belong to their respective owners and are used for identification and informational purposes only.

11. Limitation of Liability

To the maximum extent permitted by law:

11.1 Freiority shall not be liable for:

• Any indirect, incidental, or consequential damages;
• Loss of profits, data, or business;
• Acts or omissions of third-party service providers.

11.2 Freiority’s total liability, if any, shall not exceed the amount paid by the User to Freiority in the preceding 12 months.

12. Indemnity

You agree to indemnify and hold harmless Freiority from any claims, damages, losses or expenses arising out of:

• Your use of the Platform;
• Violation of these Terms;
• Disputes with third-party service providers.

13. Termination

13.1 Freiority may suspend or terminate access without notice for violation of these Terms.

13.2 Termination does not affect accrued rights or obligations.

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

The courts at Bengaluru, Karnataka, India shall have exclusive jurisdiction over any disputes arising out of or in connection with the use of the Platform.

Users accessing the Platform from outside India acknowledge that they do so voluntarily and are responsible for compliance with local laws applicable in their jurisdiction.

15. Amendments

Freiority may modify these Terms from time to time. Continued use of the Platform constitutes acceptance of the updated Terms.
